A new client came to me after forming an LLC with a business partner. They believed they were already an S Corporation, but they had never filed the actual election with the IRS. They also had not filed a tax return and were confused about how their business should be taxed.

This happens more often than people think. LLCs are simple to set up online, so many owners assume they are automatically protected and set up correctly. But without proper guidance, it is easy to make mistakes that lead to penalties and missed opportunities.

In this case, because there were two owners and no election had been filed, the IRS treated the business as a partnership by default. We corrected the issue by submitting a late S-Corp election and bringing the company into compliance. I explained the differences between each classification so they could understand how each option would affect their business and taxes moving forward.
